10.2 General Terms and Conditions of Sale
These General Terms and Conditions of Sale (the "Agreement") contain the terms and conditions that
apply to all purchases of products (each a "Product"), including Walter's passivation analysis and
measurement product marketed as the "SURFOX Smart Passivation Tester", and all training or
consulting services provided by or on behalf of Walter and relating to the "SURFOX Smart Passivation
Tester" (each a "Service"), from Walter Surface Technologies Inc. ("Walter", "We", "we", "Us", "us",
"Our" or "our") or its authorized distributor, by a customer of Walter ("Customer", "You", "you", "Your"
or "your"), whether the Product and/or Service was purchased by Customer directly from Walter or via
an authorized distributor of Walter.
PLEASE REVIEW THIS AGREEMENT CAREFULLY. THIS AGREEMENT CONTAINS IMPORTANT
INFORMATION ABOUT YOUR RIGHTS AND OBLIGATIONS, AS WELL AS LIMITATIONS AND
EXCLUSIONS THAT MAY APPLY TO YOU. IF YOU DO NOT AGREE WITH ANYTHING IN THIS
AGREEMENT, OR DO NOT HAVE THE AUTHORITY TO AGREE TO ANYTHING IN THIS AGREEMENT
ON BEHALF OF YOUR ORGANIZATION, YOU MUST NOT USE THE PRODUCT. IF YOU DO NOT
AGREE WITH ANYTHING IN THIS AGREEMENT, OR DO NOT HAVE THE AUTHORITY TO AGREE TO
ANYTHING IN THIS AGREEMENT ON BEHALF OF YOUR ORGANIZATION, YOU ARE ENTITLED TO
RETURN THE UNOPENED PRODUCT IN ITS ORIGINAL PACKAGING WITHIN TEN (10) DAYS OF THE
DATE OF PURCHASE OF THE PRODUCT FROM WALTER OR WALTER'S AUTHORIZED
DISTRIBUTOR, TO A WALTER AUTHORIZED SERVICE CENTRE, FOR A FULL REFUND OF YOUR
PURCHASE PRICE.
You acknowledge and agree that your use of any application-based software available from Walter in
connection with the "SURFOX Smart Passivation Tester" device is subject to a separate "End-User
License Agreement" supplied with that application-based software and which also may be accessed at
smart.surfox.com/agreements. In addition, you acknowledge and agree that your use of any Walter
website (including the website located at the domain www.surfox.com) in connection with the Product
is subject to separate "Website Terms and Conditions of Use", which are also available at
smart.surfox.com/agreements.
1. Applicable Terms; Order of Precedence. This Agreement embodies the entire understanding
and agreement between Customer and Walter with respect to the subject matter hereof, and
supersedes, replaces and cancels all prior understandings and agreements relating thereto. Separate
Customer documents shall not be incorporated by reference into the terms of this Agreement or the
terms of any such written agreement signed by Customer and Walter. Notice of objection is hereby
given to Customer's additional or different terms and conditions. Neither Walter's commencement of
performance nor delivery shall be deemed or construed as acceptance of Customer's additional or
different terms and conditions. This Agreement is subject to change by Walter without prior notice to
Customer.
2. Orders; Price; Payment Terms. Orders are not binding on Walter until accepted by Walter.
Unless otherwise stated in writing by Walter, all prices quoted expire 30 days after the date of a
quotation. Unless otherwise stated in writing by Walter, payments by Customer hereunder shall be
made in the lawful money of Canada and Customer shall pay all invoices issued under this Agreement
within 30 days from the date of invoice. In the event Customer shall be in default with respect to any
payment, or if Walter shall at any time have doubt as to Customer's financial responsibility, Walter
reserves the right to decline to make further deliveries hereunder except upon receipt of cash or
satisfactory security in respect thereof as well as in respect of past deliveries. Should Customer
become delinquent in the payment of any sum due hereunder, Walter shall not be obligated to continue
performance. Notwithstanding anything to the contrary herein, Walter may change prices at any time
upon 15 days written notice to Customer in the event that Walter faces economic hardship, including
increases in costs of raw materials, supplies, labor, utilities, manufacturing, packaging, transportation,
or other costs, or increases in costs due to changes in laws or regulations.
