DigitalSecurity Controls (DSC) warrants that for aperiodof 12 months fromthedateof purchase, theproduct shallbefree of defects inmaterials andworkmanshipunder normaluseand that
infulfilment of any breach of such warranty, DSC shall, at its option, repair or replace thedefectiveequipment uponreturn of the equipment toits repair depot. This warranty applies only to
defects in parts and workmanshipand not to damageincurred inshipping or handling, or damage dueto causes beyond thecontrol of DSC suchas lightning, excessive voltage, mechanical
shock, water damage, or damagearisingout of abuse, alterationor improper applicationof theequipment. Theforegoingwarranty shallapply only totheoriginalbuyer, andis andshallbeinlieu of
any andallother warranties, whether expressedor impliedand of allother obligations or liabilities onthepart of DSC. DigitalSecurity Controls neither assumes responsibility for, nor authorizes
any other personpurportingtoact onits behalf tomodify or tochangethis warranty, nor toassumefor it any other warranty or liability concerningthis product. Innoevent shallDSC beliable for
any direct, indirect or consequentialdamages, loss of anticipatedprofits, loss of timeor any other losses incurred by thebuyer inconnectionwith thepurchase, installationor operationor failure

You acquired.
Ifthe DSC software product("SOFTWAREPRODUCT" or "SOFTWARE") is intended to be accompanied by HARDWARE,and is NOT accompanied by new HARDWARE,You may notuse,copy or install the
SOFTWAREPRODUCT.The SOFTWAREPRODUCT includes computer software,and may include associated media,printed materials,and "online" or electronic documentation.
Any software provided along with the SOFTWAREPRODUCT thatis associated with a separate end user license agreementis licensed to You under the terms ofthatlicense agreement.
By installing,copying,downloading,storing, accessing or otherwise using the SOFTWAREPRODUCT,You agree unconditionally to be bound by the terms ofthis EULA,even ifthis EULA is deemed to be a
modification ofany previous arrangementor contract.IfYou do notagree to the terms ofthis EULA,DSC is unwilling to license the SOFTWAREPRODUCT to You,and You have no rightto use it.
SOFTWAREPRODUCT LICENSE
The SOFTWAREPRODUCT is protected by copyrightlaws and international copyrighttreaties,as well as other intellectual property laws and treaties.The SOFTWAREPRODUCT is licensed,notsold.
1.GRANT OF LICENSE.This EULAgrants You the following rights:
(a) Software Installation and Use - For each license You acquire,You may have only one copy ofthe SOFTWAREPRODUCT installed.
(b) Storage/Network Use - The SOFTWAREPRODUCT may notbe installed,accessed,displayed,run, shared or used concurrently on or from differentcomputers,including a workstation,terminal or other
digital electronic device ("Device").In other words,ifYou have several workstations,You will have to acquire a license for each workstation where the SOFTWAREwill be used.
(c) Backup Copy - You may make back up copies ofthe SOFTWARE PRODUCT,butYou may only have one copy per license installed at any given time.You may use the back up copy solely for archival
purposes.Exceptas expressly provided in this EULA,You may nototherwise make copies ofthe SOFTWAREPRODUCT,including the printed materials accompanying the SOFTWARE.
2.DESCRIPTION OF OTHER RIGHTSAND LIMITATIONS
(a) Limitations on Reverse Engineering,Decompilation and Disassembly - You may notreverse engineer, decompile,or disassemble the SOFTWARE PRODUCT,exceptand only to the extentthat such
activity is expressly permitted by applicable law notwithstanding this limitation.You may notmake any changes or modifications to the Software,without the written permission ofan officer ofDSC.You may not
remove any proprietary notices,marks or labels from the Software Product.You shall institute reasonable measures to ensure compliance with the terms and conditions ofthis EULA.
(b) Separation ofComponents - The SOFTWAREPRODUCT is licensed as a single product.Its componentparts may notbe separated for use on more than one HARDWAREunit.
(c) Single INTEGRATED PRODUCT - IfYou acquired this SOFTWARE with HARDWARE,then the SOFTWARE PRODUCT is licensed with the HARDWAREas a single integrated product.In this case, the
SOFTWAREPRODUCT may only be used with the HARDWAREas setforth in this EULA.
(d) Rental - You may notrent,lease or lend the SOFTWAREPRODUCT.You may notmake itavailable to others or postiton a server or web site.
(e) Software ProductTransfer - You may transfer all of Your rights under this EULAonly as part of a permanent sale or transfer of the HARDWARE, provided You retain no copies,You transfer all of the
SOFTWAREPRODUCT (including all component parts,the media and printed materials, any upgrades and this EULA), and provided the recipient agrees to the terms of this EULA. If the SOFTWARE
PRODUCT is an upgrade,any transfer mustalso include all prior versions ofthe SOFTWAREPRODUCT.
(f) Termination - Withoutprejudice to any other rights,DSC may terminate this EULAifYou fail to comply with the terms and conditions ofthis EULA.In such event,You mustdestroy all copies ofthe SOFTWARE
PRODUCT and all ofits componentparts.
(g) Trademarks - This EULAdoes notgrantYou any rights in connection with any trademarks or service marks ofDSC or its suppliers.
3.COPYRIGHT
All title and intellectual property rights in and to the SOFTWAREPRODUCT (including butnotlimited to any images,photographs,and textincorporated into the SOFTWAREPRODUCT),the accompanying prin-
ted materials,and any copies of the SOFTWAREPRODUCT, are owned by DSC or its suppliers.You may notcopy the printed materials accompanying the SOFTWAREPRODUCT.All title and intellectual
property rights in and to the contentwhich may be accessed through use ofthe SOFTWAREPRODUCT are the property ofthe respective contentowner and may be protected by applicable copyright or
other intellectual property laws and treaties.This EULAgrants You no rights to use such content.All rights notexpressly granted under this EULAare reserved by DSC and its suppliers.
4.EXPORT RESTRICTIONS
You agree thatYou will notexportor re exportthe SOFTWAREPRODUCT to any country,person,or entity subjectto Canadian exportrestrictions.
5.CHOICEOF LAW:This Software License Agreementis governed by the laws ofthe Province ofOntario,Canada.
6.ARBITRATION
All disputes arising in connection with this Agreementshall be determined by final and binding arbitration in accordance with the Arbitration Act, and the parties agree to be bound by the arbitrator's decision.
The place ofarbitration shall be Toronto,Canada,and the language ofthe arbitration shall be English.
7.LIMITED WARRANTY
(a) NO WARRANTY
DSC PROVIDESTHESOFTWARE"ASIS" WITHOUT WARRANTY.DSC DOESNOT WARRANT THAT THESOFTWAREWILL MEET YOUR REQUIREMENTSOR THAT OPERATION OF THESOFTWARE WILL
BEUNINTERRUPTED OR ERROR-FREE.
(b) CHANGESIN OPERATING ENVIRONMENT
DSC shall notbe responsible for problems caused by changes in the operating characteristics ofthe HARDWARE,or for problems in the interaction ofthe SOFTWAREPRODUCT with non-DSC-SOFTWARE
or HARDWAREPRODUCTS.
(c) LIMITATION OF LIABILITY;WARRANTYREFLECTSALLOCATION OF RISK
IN ANYEVENT,IF ANY STATUTEIMPLIESWARRANTIESOR CONDITIONS NOT STATED IN THISLICENSE AGREEMENT,DSC'SENTIRELIABILITYUNDER ANYPROVISION OF THISLICENSE AGREEMENT
SHALL BELIMITED TO THEGREATER OF THEAMOUNT ACTUALLYPAID BYYOU TO LICENSETHESOFTWAREPRODUCT AND FIVECANADIAN DOLLARS(CAD$5.00).BECAUSESOMEJURISDICTIONS
DO NOT ALLOW THEEXCLUSION OR LIMITATION OF LIABILITYFOR CONSEQUENTIAL OR INCIDENTAL DAMAGES,THEABOVELIMITATION MAYNOT APPLYTO YOU.
(d) DISCLAIMER OF WARRANTIES
